Terms of Service for EMERGE Consulting
1. Introduction These Terms of Service govern the use of consulting services provided by EMERGE Consulting ("EMERGE", "we", "us", "our") and are entered into by you and EMERGE. By engaging our services, you agree to these Terms of Service. If you do not agree to these terms, you should not engage our consulting services.
2. Services EMERGE provides marketing consulting services including but not limited to market analysis, strategic marketing planning, digital marketing solutions, and brand development strategies ("Services"). Detailed descriptions of the Services will be provided in the project proposals or statements of work, which are incorporated herein by reference.
3. Fees and Payment
Fees for our Services will be set out in the project proposal or statement of work.
Payment is due within 30 days of the invoice date, unless otherwise specified.
Late payments may incur additional charges or interest at a rate of 15% per month on any outstanding balance.
4. Client Obligations You agree to cooperate with us and provide us with the information and access to resources that we reasonably require to perform the Services effectively. You acknowledge that our ability to deliver the Services is dependent upon the full and timely cooperation of your team, as well as the accuracy and completeness of any information you provide.
5. Intellectual Property
All intellectual property rights in any materials provided as part of the Services shall be owned by EMERGE.
You are granted a non-exclusive, revocable license to use any materials provided for your personal/company use only, related to the Services provided.
Digital Products
Sale of Digital Products: EMERGE offers various digital products, including but not limited to downloadable templates, ebooks, online courses, and webinars ("Digital Products"). These Digital Products are subject to the terms and conditions of this agreement.
License: Upon purchase, EMERGE grants you a non-exclusive, non-transferable license to use the Digital Products for your personal or internal business purposes. You agree not to use the Digital Products for any unlawful purposes, and not to modify, distribute, replicate, reproduce, or publicly display any content without prior written consent from EMERGE.
Refund Policy
Non-Refundable Products: All Digital Products sold by EMERGE are non-refundable due to their intangible nature. Once the Digital Product is delivered via download link, you will have immediate access and the possibility of copying and storing the product. Therefore, refunds are not offered.
Exception Circumstances: Exceptions to this policy will only be considered under unique circumstances at the discretion of EMERGE management. If you encounter technical problems accessing a downloaded product, please contact us immediately for assistance.
Usage and Restrictions
Permitted Usage: You are permitted to use the Digital Products in accordance with the license provided and only within the bounds outlined by these Terms.
Prohibited Uses: You may not:
Distribute, sell, rent, share, sublicense, or otherwise make the Digital Products available to others.
Use the Digital Products to create derivative materials or offer them in a competing business.
Remove any copyright, trademark, or other proprietary notices from any portion of the Digital Products.
6. Confidentiality Both parties agree to keep all confidential information received from each other in connection with the Services confidential and shall not disclose it to any third party without the prior written consent of the other party.
7. Liability EMERGE will perform its services with reasonable skill and care. However, EMERGE will not be liable for any losses, damages, costs, or expenses incurred by you or third parties arising directly or indirectly from our services, except where such exclusion is prohibited by law.
8. Termination Either party may terminate the service agreement with written notice if the other party breaches these Terms and fails to correct the breach within thirty (30) days following written notification.
9. Miscellaneous
These Terms constitute the entire agreement between the parties.
Any changes or updates to these Terms must be made in writing and signed by both parties.
10. Governing Law These Terms shall be governed by and construed in accordance with the laws of the Missouri, United States of America
